Carna4’s Affiliate Program Terms and Conditions     

Welcome to our Affiliate Program. Please read the following terms and conditions carefully. By participating in the Carna4 Affiliate Program you agree to the following:

1. Affiliate Commission

• Commission Rate: Affiliates will earn a 10% commission on the total sale amount before tax and/or shipping of Carna4 products for every first purchase made by a new customer using the Affiliate’s unique link.
• New Customers Only: The commission is applicable only to the first purchase made by a new customer through the Affiliate’s unique link. Subsequent purchases by the same customer, even if made using the same link, will not generate additional commissions.

2. Customer Discount Code Unique to You

• Discount Offer: Customers referred by an Affiliate will receive a one-time 10% discount on their first Carna4 purchase when they use the unique discount code provided by the Affiliate. This discount is available exclusively for new customers on their first purchase through our fulfillment center at WhiteDogBone.com only.
• Single Use: The discount code is valid for one-time use per new customer and can only be applied during their first purchase.
• Code and Link Requirement: The discount code must be used in conjunction with the Affiliate's unique link. Both the link and the code must be used for the purchase to be properly tracked and attributed to the Affiliate. Customer failure to use both the link and the code will result in the purchase not being recognized for commission purposes.

3. Affiliate Link and Tracking

• Unique Link: As an Affiliate, you will be provided with a unique link to give your subscribers that tracks customer purchases. The link must be used by the customer for the purchase to be attributed to you.
• Cookie Duration: The tracking cookie placed on the customer’s browser lasts for 30 days. If the customer makes a purchase within this 30-day period, you will receive the commission. If the purchase occurs after the 30-day period, the customer must click the Affiliate link again in order for you to be eligible for the commission.

4. Payment of Commissions

• Payment Schedule: Commissions will be paid out 60 days after a sale is generated. This includes a 30-day holding period to account for any returns, refunds, or chargebacks, followed by a 30-day processing period.

Example: If a sale is generated at the end of March, the commission will be paid at the end of May or early June, after the 30-day holding period and an additional 30-day processing time.

5. Refusal of Commission Payment

• Right to Refuse: We reserve the right to refuse payment of commissions under the following circumstances:
• Self-Referral: If we discover that the customer placing the order for Carna4 products using the unique link and/or discount code is the Affiliate themselves or persons closely associated with the Affiliate, we may refuse to pay the commission.
• Fraudulent Activity: Any attempt to manipulate or artificially inflate orders, including using fake accounts, misleading promotions, or other deceptive practices, will result in forfeiture of commissions and termination from the affiliate program.
• Violation of Terms: If an Affiliate is found to be in violation of these terms and conditions or any applicable laws, their right to receive commissions may be revoked.

6. Content Expectations

• Brand Representation: Affiliates must represent Carna4 accurately and positively. Content should be aligned with our brand values and messaging, on which our team will work closely with you.
• Prohibited Content: Affiliates are prohibited from using misleading, deceptive, or false advertising practices. Content should not include offensive, discriminatory, or inappropriate material.
• Approval of Content: In some cases, we may require approval of some promotional content before it is published. Affiliates must comply with any content guidelines or restrictions provided.
• Intellectual Property: Affiliates must not use our trademarks, logos, or other intellectual property without prior written permission. Any authorized use must adhere to our brand guidelines.

7. Performance Assessment

• Three-Month Assessment: Your performance will be assessed after three months of participation in the program. This review will evaluate your effectiveness in promoting Carna4, including the number of referrals and overall contribution to sales.
• Quarterly Reviews: Following the initial three-month assessment, there will be performance reviews every quarter. These reviews will continue to evaluate your ongoing effectiveness and contribution to sales.
• Continuation or Termination: Based on the results of theses assessments and quarterly reviews, we will decide whether to continue our partnership or terminate your participation in the program.

8. Termination and Modification

• Termination: Either party may terminate this agreement at any time by providing written notice. Upon termination, any unpaid commissions that were earned prior to the termination date will be paid out according to the regular payment schedule.
• Modification of Terms: We reserve the right to modify these terms and conditions at any time. Affiliates will be notified of any changes, and continued participation in the program will constitute acceptance of the modified terms.

9. Confidentiality

• Confidential Information: Affiliates agree to keep all information related to the Affiliate program, including commission rates, marketing strategies and customer data, private and agrees to not disclose it to third parties without our explicit prior written consent.

10. Governing Law

• Jurisdiction: These terms and conditions are governed by the laws of Ontario, Canada. Any disputes arising from this agreement shall be resolved in the courts of Ontario, Canada.

11. Acceptance of Terms

• By participating in our Affiliate program, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.
